Digi and Celcom may complete their merger in the near future!
The Malaysian Communications and Multimedia Commission (MCMC) approved the merger of Digi and Celcom in June this year, the Securities Commission (SC) approved the merger in September, and the Bursa Securities Exchange (Bursa) approved the merger in October.
Both Digi and Axiata Celcom will be holding their respective AGMs on November 18, with Axiata Celcom holding its AGM at 9am and Digi at 2pm.
It is understood that Digi will pay RM17.756.15 million to acquire all the shares of Axiata Celcom by issuing 73.37 million 8844 new shares to Axiata at RM4.06 per share.
Digi will also pay RM1,692.73 million in cash to Axiata.
Once the acquisition is completed, Digi’s parent companies Telonor and Axiata will each hold 33.1% of Digi, while the Provident Fund Board will hold 9.81%, the National Investment Agency 7.05%, the Pensioners Fund 2.52% and other shareholders 14.42%.
The merger of Digi and Celcom will create Celcom Digi Berhad, the largest telecommunications company in Malaysia.
